  • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE OUR SERVICES

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100 USD), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

8. Force Majeure

Shader Lab shall not be liable for any failure or delay in performance under these Terms and Conditions due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, or severe weather conditions
  • War, terrorism, riots, or civil disturbances
  • Government actions, laws, or regulations
  • Pandemics, epidemics, or public health emergencies
  • Labor disputes, strikes, or work stoppages
  • Failures of telecommunications or internet infrastructure
  • Cyberattacks or security breaches beyond our control

In such events, our performance obligations shall be suspended for the duration of the force majeure event, and we shall be entitled to a reasonable extension of time for performance.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these terms.

9.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms and Conditions or your use of our services shall be brought exclusively in the federal or state courts located in Santa Clara County, California. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

9.3 Dispute Resolution Procedures

Before initiating any formal legal proceedings, you agree to first attempt to resolve disputes through good faith negotiations. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration or litigation as appropriate.

Any arbitration shall be conducted in accordance with the rules of the American Arbitration Association, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

10. Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent to the greatest extent possible. If modification is not possible, the invalid provision shall be severed from these terms, and all other provisions shall remain in full force and effect.

11. Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Shader Lab to be effective.

12. Assignment

You may not assign, transfer, or delegate these Terms and Conditions or any of your rights or obligations hereunder without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. We may freely assign these terms without restriction. These terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other legal documents referenced herein, constitute the entire agreement between you and Shader Lab regarding your use of our services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter hereof.
